Soane Limited is committed to ensuring that your privacy is protected. This privacy policy explains how we use the information we collect about you, how you can instruct us if you prefer to limit the use of that information and procedures that we have in place to safeguard your privacy.

1. The information we collect and how we use it

  • .1 When you place an order we need to know your name, postal address, e-mail address, telephone number and credit card number and expiry date for non-trade customers.
  • .2 We gather this information to allow us to process your registration and process any orders you may make. The relevant information is then used by us, our agents and sub-contractors to provide you with statements of your account and to communicate with you on any matter relating to the conduct of your account and in general.
  • .3 We may also use aggregate information and statistics for the purposes of monitoring website usage in order to help us develop the website and our services and may provide such aggregate information to third parties. These statistics will not include information that can be used to identify any individual.
  • .4 From time to time we may provide your information to our customer service agencies for research and analysis purposes so that we can monitor and improve the services we provide. 2. Our use of cookies and other information gathering technologies

  • 2.1 When you visit the Site we may store some information (commonly known as a “cookie”) on your computer. Cookies are pieces of information that a website transfers to your hard drive to store and sometimes track information about you. Cookies are specific to the server that created them and cannot be accessed by other servers, which means that they cannot be used to track your movements around the web. 5.1 If any of the information that you have provided to Soane Limited changes, for example if you change your e-mail address, name or payment details or if you wish to cancel your registration, please let us know the correct details by sending an e-mail to shop@soane.co.uk.

6. Your consent

  • 6.1 By submitting your information you consent to the use of that information as set out in this policy. If we change our privacy policy we will post the changes on this page, and may place notices on other pages of the website, so that you may be aware of the information we collect and how we use it at all times. We will also e-mail you should we make any changes so that you may consent to our use of your information in that way. Continued use of the service will signify that you agree to any such changes.
  • 6.2 Owing to the global nature of the Internet infrastructure, the information you provide may be transferred in transit to countries outside the European Economic Area that do not have similar protections in place regarding your data and its use as set out in this policy. However, we have taken the steps outlined above to try to improve the security of your information. By submitting your information you consent to these transfers.

NON-TRADE CUSTOMERS

1. The contract between us

Your order is an offer to buy from us the goods shown and described on our website. We must receive payment of the whole of the price for the goods that you order before your order can be accepted. Once payment has been received by us we will confirm that your order has been accepted by sending an email to you at the email address you provide in your order form. Our acceptance of your order brings into existence a legally binding contract between us, subject to the terms hereof and our General Terms and Conditions.

2. Price and VAT

  • 2.1 The prices payable for goods that you order are as set out in our website.
  • 2.2 All prices are expressed inclusive of any VAT payable unless otherwise stated.
  • 2.3 If you are based in the European Union upon the production to us of a TVA/VAT number and proof of export, TVA/VAT will not be payable on the goods.
  • 2.4 No VAT will be charged if the goods are to be sent directly to a country outside the European Union. You must provide us with the export documents from the carriage company within three months of the date of purchase of the goods.
  • 2.5 VAT must be charged on all goods taken abroad (including the European Union) by hand. A refund of the VAT on these goods will be given upon receipt of an export TVA/VAT document stamped by Customs and Excise at any port.
  • 2.6 Your online payments are taken securely using Paypoint and your credit card details are not stored by us.

3. Delivery

  • 3.1 You will be required to arrange and pay for delivery of the goods.
  • 3.2 Once you have received your order confirmation, you will be contacted by one of our sales team to discuss delivery or collection of the goods and completion dates.
  • 3.3 You will become the owner of the goods you have ordered when they have been made available for collection by you or your agents for delivery to you. Once the goods have been made available for collection they will be held at your risk and we will not be liable for any damage, loss or destruction.

4. Cancellation of your contract

Because we offer a bespoke service and designs are made to your personal specification, the statutory seven day cancellation period under Article 10 of the Consumer Protection (Distance Selling) Regulations 2000 does not apply.

5. Liability

  • 5.1 We will only be liable to you in the event of any goods being defective as a result of design or manufacture. In such event our liability to you will be (at our option):
    • 5.1.1 to make good any shortage or non-delivery;
    • 5.1.2 to replace or repair any goods that are damaged or defective; or
    • 5.1.3 to refund to you the amount paid by you for the goods in question in whatever way we choose.
  • 5.2 Save as precluded by law, we will not be liable to you for any indirect or consequential loss, damage or expenses (including loss of profits, business or goodwill) howsoever arising out of any problem you notify to us under this condition and we shall have no liability to pay any money to you by way of compensation other than to refund to you the amount paid by you for the goods in question under clause 5.1.3 above.
  • 5.3 You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase goods from our site. The importation or exportation of certain of our goods to you may be prohibited by certain national laws. We make no representation and accept no liability in respect of the export or import of the goods you purchase.
  • 5.4 Notwithstanding the foregoing, nothing in these terms and conditions is intended to limit any rights you might have as a consumer under applicable local law or other statutory rights that may not be excluded nor in any way to exclude or limit our liability to you for any death or personal injury resulting from our negligence.

6 Notices

Unless otherwise expressly stated in these terms and conditions, all notices from you to us must be in writing and sent to our contact address at Soane Limited, 50-52 Pimlico Road, London SW1W 8LP and all notices from us to you will be displayed on our website from to time.

7 Events beyond our control

We shall have no liability to you for any failure to deliver goods you have ordered or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond our reasonable control including, without limitation, strikes, lock-outs and other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.

8 Invalidity

If any part of these terms and conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.

9 Privacy

You acknowledge and agree to be bound by the terms of our privacy policy.

10 Third party rights

Except for our affiliates, directors, employees or representatives, a person who is not a party to this agreement has no right under the UK Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement but this does not affect any right or remedy of a third party that exists or is available apart from that Act.

11 Governing law

The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.

12 Entire agreement

These terms and conditions, together with our current website prices, delivery details, contact details and privacy policy, set out the whole of our agreement relating to the supply of the goods to you by us. Nothing said by any sales person on our behalf should be understood as a variation of these terms and conditions or as an authorised representation about the nature or quality of any goods offered for sale by us. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.

TRADE CUSTOMERS

1. The contract between us

Upon your acceptance of our quotation and our receipt of the payment referred to in clause 2.2 we will confirm your order by sending an email to you at the email address you provide in your order form. Our acceptance of your payment creates a legally binding contract between us, subject to the terms hereof and our General Terms and Conditions.

2. Price and VAT

  • 2.1 Upon your supplying to us details of the goods you wish to purchase we will provide to you a quotation in respect of the goods in either Pounds Sterling, Euros or US Dollars. Such quotation shall remain valid for 6 weeks from the date of the quotation.
  • 2.2 Acceptance of the quotation is your order to supply the goods referred to in the quotation. Upon receipt of such acceptance we will issue you with an invoice for the total price. One half of such price is payable within seven days of the date of the invoice.
  • 2.3 The remaining one half is payable when we inform you that the goods are ready for delivery and must be paid before the goods are made available for delivery and within 7 days of our informing you.
  • 2.4 In the event of payment not being made as mentioned in clauses 2.2 and 2.3 above interest shall be payable at a rate of 2% above [Lloyds Bank Plc’s] base rate from time to time, until payment in full is made (a part of a month being treated as a full month for the purpose of calculating interest).
  • 2.5 All prices are expressed exclusive of any VAT payable unless otherwise stated.
  • 2.6 If you are based in the European Union, upon the production to us of a VAT number and proof of export, VAT will not be payable on the goods.
  • 2.7 No VAT will be charged if the goods are to be sent directly to a country outside the European Union. You must provide us with export documents from the carriage company within three months of the date of purchase of the goods.

There is a carriage fee for all deliveries.

Soane can deliver goods to destinations within and outside the UK.

If Soane can’t deliver the goods to you for any reason you will be informed within 30 days of receiving your order.

Returns, Exchanges & Refunds

General Terms and Conditions

These General Terms and Conditions govern your use of the Company website (the “Company Site”) and your relationship with Soane Limited (the “Company”, “we” or “us”). Please read them carefully as they affect your rights and liabilities under the law. If you do not agree to these Terms and Conditions, please do not register for or use the Company Site. 1 Use of the Company Site

1.1 The Company Site is provided to you for your personal use subject to these Terms and Conditions. By using the Company Site you agree to be bound by these Terms and Conditions.

2 Amendments

2.1 We may update these Terms and Conditions from time to time for legal or regulatory reasons or to allow the proper operation of the Company Site. Any changes will be notified to you via the e-mail address provided by you on registration or via a suitable announcement on the Company Site. The changes will apply to the use of the Company Site after we have given notice. If you do not wish to accept the new Terms and Conditions you should not continue to use the Company Site. If you continue to use the Company Site after the date on which the change comes into effect, your use of the Company Site indicates your agreement to be bound by the new Terms and Conditions.

3 Registration

3.1 To register on the Company Site you must be over eighteen years of age.

3.2 You must ensure that the details provided by you on registration or at any time are correct and complete.

3.3 You must inform us immediately of any changes to the information that you provided when registering by updating your personal details in order that we can communicate with you effectively.

4 Password and security

4.1 When you register to use the Company Site you will be asked to create a password. In order to prevent fraud, you must keep this password confidential and must not disclose it or share it with anyone. If you know or suspect that someone else knows your password you should notify us by contacting shop@soane.co.uk immediately.

4.2 If the Company has reason to believe that there is likely to be a breach of security or misuse of the Company Site, we may require you to change your password or we may suspend your account.

5 Intellectual property

5.1 The content of the Company Site is protected by copyright, trade marks, database rights and other intellectual property rights. You may retrieve and display the content of the Company Site on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Company Site without written permission from the Company.

6 Your use of the Company Site

6.1 You may not use the Company Site for any of the following purposes:

6.1.1 disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any laws;

6.1.2 transmitting material that encourages conduct that constitutes a criminal offence, or otherwise breaches any applicable laws, regulations or code of practice;

6.1.3 interfering with any other person’s use or enjoyment of the Company Site; or

6.1.4 making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.

6.2 You will be responsible for our losses and costs resulting from your breach of this clause 6.

7 Availability of the Company Site

7.1 Although we aim to offer you the best service possible, we make no promise that the services at the Company Site will meet your requirements. We cannot guarantee that the services will be fault-free. If a fault occurs with the Company Site you should report it to shop@soane.co.uk and we will attempt to correct the fault as soon as we reasonably can.

7.2 Your access to the Company Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can.

8 The Company’s right to suspend or cancel your registration

8.1 We may suspend or cancel your registration immediately at our reasonable discretion or if you breach any of your obligations under these Terms and Conditions.

8.2 You can cancel your registration at any time by informing us in writing at shop@soane.co.uk.

8.3 The suspension or cancellation of your registration and your right to use the Company Site shall not affect either party’s statutory rights or liabilities.

9 The Company’s liability

9.1 The Company Site provides content from other Internet sites or resources and while the Company tries to ensure that material included on the Company Site is correct, reputable and of high quality, it does not make any warranties or guarantees in relation to that content. If the Company is informed of any inaccuracies in the material on the Site we will attempt to correct the inaccuracies as soon as we reasonably can.

9.2 If we are in breach of these Terms & Conditions, we will only be responsible for any losses that you suffer as a result to the extent that they are a foreseeable consequence to both of us at the time you use the Company Site. Our liability shall not in any event include business losses such as lost data, lost profits or business interruption.

9.3 This clause 9 shall not limit or affect our liability resulting from any products sold through the Company Site being found to be unsafe or if something we do negligently causes death or personal injury.

10 Third Party Websites

10.1 As a convenience to customers, the Company Site includes links to other web sites or material which are beyond its control. The Company is not responsible for content on any site outside the Company Site.

11 Advertising and Sponsorship

11.1 Part of the Company Site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Company Site complies with relevant laws and codes. We will not be responsible to you for any error or inaccuracy in advertising and sponsorship material.

12 Applicable Law

12.1 These Terms and Conditions will be subject to the laws of England and Wales. We will try to solve any disagreements quickly and efficiently. If you are not happy with the way we deal with any disagreement and you want to take court proceedings, you must do so within the United Kingdom.

13 International Use

13.1 We make no promise that materials on the Company Site are appropriate or available for use in locations outside the United Kingdom, and accessing the Company Site from territories where its contents are illegal or unlawful is prohibited. If you choose to access this site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.

14 Miscellaneous

14.1 You may not transfer any of your rights under these Terms and Conditions to any other person. We may transfer our rights under these Terms and Conditions to another business where we reasonably believe your rights will not be affected.

14.2 If you breach these Terms and Conditions and the Company chooses to ignore this, the Company will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms and Conditions.

14.3 The Company shall not be responsible for any breach of these Terms and Conditions caused by circumstances beyond its reasonable control.

HOW LONG BEFORE MY ORDER IS DELIVERED?

Delivery time depends on the type of product that you have purchased. Specific times will be obtained once your order is received. First a confirmation order will be emailed to you, then a member of our sales team will be in touch to discuss the lead time and collection or delivery of the item(s) ordered. Soane can deliver goods to destinations within and outside the UK. If Soane can’t deliver the goods to you for any reason you will be informed within 30 days of receiving your order. Soane would be very pleased to obtain quotes for packing, shipping, air freighting and delivery to anywhere in the world.

HOW CAN I CHECK ON AN ORDER PLACE ON SOANE.CO.UK?

To check the status of an order please send an email to shop@soane.co.uk quoting our confirmation order number. Alternatively please call and ask for sales at our London showroom.

HOW DO I KNOW WHEN AN ORDER HAS BEEN RECEIVED?

Upon receipt of your order an email confirmation will be sent to the email address provided. Please keep this email: it contains your order reference number which you may need at a later date.

CAN I HAVE MY GOODS SENT TO A DELIVERY ADDRESS THAT IS NOT THE CREDIT CARD ADDRESS?

Yes. When entering your personal details you will be given an opportunity to enter any number of different delivery addresses. All the different delivery addresses can be stored in your personal account details for future use.

WHAT IS THE IMPORT DUTY FOR CUSTOMERS BUYING OUTSIDE THE EUROPEAN UNION?

There may be local duty to pay in relation to your order for imported goods. Local Customs office will inform you if that is the case.
