FURNITURE & LIGHTING

PRICES

Prices charged shall be Soane Britain’s quoted price at the date of order. All quotations are valid for 6 weeks from the date of quotation. All prices quoted exclude VAT.

20% VAT may be withheld when goods are removed from the UK. However, for VAT  audit Soane Britain must retain evidence of movement of  the goods. If Soane Britain arrange shipping its agent will provide this. However, if you choose to arrange shipping Soane Britain are obliged to collect a 20% POD (proof of delivery) deposit which is refundable when it receives satisfactory proof of delivery from you as outlined in VAT Notice 703 on gov.uk.

For all EU orders, the client will be charged Import VAT by a customs agency in the EU country of import and payment will most likely be required before goods are released. (Value added tax % is different in different EU countries).

TRADE ACCOUNTS

Trade accounts are offered strictly to trade professionals and will only be considered on completion of the required paperwork and reference checks. In order to protect our valued trade clients, the re-sale of Soane designs, either in a retail environment or on-line or on social media platforms, is forbidden.  Access to trade pricing or other trade account benefits, including trade log-in, may be withdrawn without notice. Please do not circulate trade log-in details outside the company which is named on the account.

CONFIRMATION OF ORDER, RESERVE & CANCELLATIONS

All pro forma invoices shall be an offer by Soane Britain to sell the goods subject to these terms and conditions. The pro forma invoice, together with these terms and conditions, shall form the “Agreement” between us.

You are responsible for errors that may occur with a telephone order which has not been confirmed in writing.

Payment of the non-refundable deposit amount set out in Soane Britain’s pro forma invoice will be treated as confirmation of your order and acceptance of our offer, as per the details on the pro forma invoice. Any subsequent changes will be confirmed in writing.

All Quick Ship and antique orders and any order up to the value of £3,000/$3,000 are payable in full before production or dispatch. Soane Britain fabric and wallpaper designs are subject to minimums. For all other orders, you will have paid a non- refundable deposit, as specified on your pro forma invoice.

Production of your order will start a) when payment is received or b) when all the details of the order (e.g. finish selection, upholstery details) are received, whichever is later.

A delay in receipt of payment in full or a deposit, or confirmation of specifications, will usually lead to a delay in the ready date for your order.

Please note that Soane Britain’s upholsterers must receive fabric/ leather at least 8 weeks before the agreed ready date for your or- der. We will advise you if late receipt of fabric/leather has caused a delay to the ready date.

If you are using a Soane Britain leather for upholstery, please be advised that each cow hide is naturally dyed and left unfinished. This is a natural leather with the unique surface characteristics of the animal hide remaining visible. As such, a degree of natural marks and shade variation should be expected, making every hide unique. The colouration of each will vary as each hide reacts with differently with the vegetable dye. Your Account Manager will be able to advise on how best to treat and keep the leather, all colours will fade in direct sunlight and mark if anything is spilt on it.

If you are providing your own fabric or leather for upholstery (COM/COL), please supply the Soane Britain COM/COL form with a sample and upholstery instructions in advance so that we can check it is workable with your order. Unfortunately, we cannot accept responsibility for COM/COL wrongly received or mistakes in upholstery if this information is not received. Soane Britain also reserve the right to reject COM/COL that in its workshop’s opinion is not of suitable quality, or advise you if extra charges apply. We will assume that COM/COL is provided without faults. We will do our best to communicate any obvious faults when the COM/COL reaches our workshops. However if you would like us to quality check your COM/COL before it is cut, please speak to Sales Support.

Please note most Soane designs are made for domestic use and have not been tested for a non-domestic environment. Please be in touch with your Account Manager who will be able to advise on this further.

Soane Britain shall have the right to cancel your order (or any part of it) which has not yet been delivered and shall provide you with a full refund if it exercises this cancellation right.

The balance of your order will be invoiced by Soane Britain at any time prior to the agreed ready date and all invoices shall be paid by you in full without deduction or set-off, in cleared funds within 10 working days of the date of each invoice. Soane Britain must receive cleared funds at least 5 working days before your order can be dispatched or collected.

If your order is not dispatched or collected on the agreed ready date Soane Britain may at its discretion charge weekly storage fees. For details of Soane Britain’s re-stocking pricing, please speak to your Account Manager.

Time of payment is of the essence. Where sums due under these terms and conditions are not paid in full by the due date, Soane Britain may terminate the Agreement and resell or otherwise dispose of the goods.

HANDMADE PRODUCTION & EXACT MATCHING

Soane Britain believe that the many traditional skills and techniques used to make its designs add to the beauty and individuality of each piece. If you require a higher level of uniformity or finish than these techniques may allow, please discuss your requirements with Soane Britain before confirming your order. Please note that samples of Soane Britain’s “standard” finishes should not be used for matching.

RISK & TITLE

Risk in the goods that you have ordered shall pass to you when they are dispatched or collected. Title to the goods that you have ordered shall pass to you once the goods are dispatched or collected and Soane Britain has received payment from you in full and cleared funds for the goods.

DISPATCH & STORAGE

Your quoted price will include dispatch of your order from Soane Britain’s workshops to the Soane Britain Leicester warehouse (‘ex works’) and unpackaged.

Due to space constraints Soane Britain can only keep your order for 5 working days after the agreed Ex Works (Incoterms 2020) date. Soane Britain are pleased to offer the following options for onward delivery and/or storage:

Collection. You are welcome to arrange collection of your order between 9am and 4pm GMT. Please ensure that Soane Britain has at least 24 hours’ notice of collection and that your courier service has the relevant invoice number. Note that excluding smaller lighting and hardware your order is stored without packaging. Your professional collection service will need to bring suitable packaging, protection and manpower to transfer the items safely and securely. Soane Britain reserves the right to advise its clients at the point of collection if it believes that your collection service is not suitable for the order.

If you would like Soane Britain to crate or otherwise pack your order ready for collection, please speak to its Logistics team who will be happy to advise on options and prices. Soane Britain requires 10 days’ notice to organise crating services.

If your order is being delivered abroad, and you are organising your own collection, please note that Soane Britain are obliged to charge a refundable POD deposit in line with HMRC regulations.

If you are organising your own collection Soane Britain bears no responsibility for orders damaged in transit once they have been collected from Soane Britain’s warehouse.

Delivery. Soane Britain offer a range of insured delivery options: from a boxed courier service, to air and sea freight; consolidated and white glove delivery. Soane Britain can arrange export packing, customs documentation and insurance for export orders. In the UK Soane Britain can offer some installation services.

Your Account Manager or Soane Britain’s Logistics team can advise, quote and invoice for these delivery services at any stage of your order. All delivery charges must be paid before your order leaves Soane Britain’s warehouse.

Storage. If you cannot collect or make delivery arrangements for your order within 5 working days of the ex-works date Soane Britain may be able to offer you storage, depending on the current warehouse capacity. The Soane Britain Logistics team will be happy to quote you for storage charges. All storage charges must be paid for monthly or, if for less than a month, weekly in advance.

YOUR ORDER ACCEPTANCE

You should unpack and inspect your order immediately on delivery. Within 3 days of delivery please give Soane Britain notice in writing if any of the goods are not in accordance with the written order, damaged or defective.

No claims for faulty fabrics or wallpapers can be made after the fabrics or wallpapers have been cut or hung.

Soane Britain cannot accept claims for non-delivery of the order unless notified in writing within 5 days of the agreed delivery date.

COMPLIANCE

Soane Britain’s designs comply with all statutory and EU requirements. All other warranties, condition or requirement otherwise implied by interior industry status are excluded.

With a few exceptions, Soane Britain furniture and lighting is designed and made for domestic use and is not tested for commercial or heavy traffic environments. Your quote will show you if a particular design has been tested for non-domestic use and our Sales Support team is always happy to answer questions about a particular design’s suitability for commercial use.

TERMINATION

Soane Britain may terminate the Agreement or any other agreement which it has with you at any time by giving you notice in writing if: you commit a material breach of these terms and conditions or you suffer an insolvency or bankruptcy related event.

FABRICS & WALLPAPERS

PRICES

All trade prices quoted exclude VAT and delivery charges. Soane Britain’s price list may be altered at any time to take in to account reasonable market conditions and costs.

DELIVERY

Orders are dispatched from Soane Britain’s warehouse using leading couriers such as UPS and FedEx. Orders are shipped on next day service. For any export orders delivery times will be dependent on customs clearance. For export orders, client will act as importer and fill out any required customs paperwork.

MINIMUM ORDERS

Soane Britain’s fabrics and wallpapers are subject to minimum order quantities, please check with your Account Manager. Soane Britain reserves the right to amend the minimum quantities without notice.

CONFIRMATION OF ORDER

You are responsible for errors that may occur with an order which is placed over the telephone but which is not confirmed in writing.

Payment of Soane Britain’s pro forma invoice will be treated as confirmation of your order and acceptance of our offer, as per the details on the pro forma invoice. Any subsequent change will be confirmed in writing. You are expected to verify that the pro forma invoice reflects the correct pattern, colour way and/or base cloth of the design you wish to order.

CANCELLATION

Soane Britain shall have the right to cancel your order (or any part of it) which has not yet been delivered and shall provide you with a full refund if it exercises this cancellation right.

PAYMENT AND INVOICE VALIDITY

All orders are payable in full before production or despatch. An unpaid pro forma invoice for a fabric or wallpaper that is in stock reserves the stock for 2 weeks. Unpaid pro forma invoices will be void after 2 weeks and the reserve will be removed.

PRODUCTION OF YOUR ORDER

Production of your order will start a) when payment is received or b) when all the details of the order (e.g. cut lengths, delivery details) are received, whichever is later. A delay in receipt of payment or confirmation of specifications will usually lead to a delay in the production of the order.

RESERVES

Stock reserves will be automatically cancelled after 2 weeks.

ORDER AMENDMENTS AND CANCELLATIONS

Cancellations or amendments of orders must be confirmed in writing whereupon Soane Britain will endeavour to cancel or amend the order accordingly.  If you need to increase your order, additional meterage or rolls will be taken from the same batch where possible. If this is not possible, for fabric orders of 5 yards/metres or more, it is recommended that you request a CFA.   Your order cannot be cancelled or amended if Soane Britain has already cut the fabric from stock or put the order in to production.

RISK & TITLE

LEAD TIMES

For stock orders, lead time to despatch will be 5 working days.

 For incoming stock orders we will be able to give you an estimated lead time in weeks on your pro forma invoice. Please note this will be estimated lead time only, based on average production and shipping lead time. delays outside of our control may occur.

ORDER ACCEPTANCE

You or the person receiving your goods on your behalf should unpack and inspect your order immediately on delivery. Please give Soane Britain notice in writing within 3 days of delivery if any of the goods are not in accordance with the written order, or are damaged or defective, otherwise no claim can be made. No claims can be made for fabrics or wallpapers that have been ordered in error. No claims can be made after the fabric or wallpaper has been cut or hung. Soane Britain cannot accept claims for non-delivery of the order unless notified in writing within 5 days of the agreed delivery date.

SAMPLES

Samples are provided for information and guidance only.  Due to the handmade nature of Soane Britain’s designs, it cannot guarantee an exact match in either colour or quality between a sample and delivered goods.  A Cutting for approval (CFA) may be requested free of charge for orders over 5 meters/yards. If requested post payment, or for orders of 5 meters/yards or less, a CFA charge will apply in the amount of £65/$55.

For trade clients, Fabric returnables may be borrowed free of charge, if they are returned within 2 weeks.  If not returned within this period, a handling fee will be charged. For retail clients, fabric returnables will incur a handling fee that will be refunded if the returnable is returned to us within 2 weeks. Large wallpaper samples can be provided for a handling fee, which is deductible against a paid proforma for the same wallpaper.

HAND DRAWN DESIGNS

Soane Britain’s fabrics and wallpapers are often inspired by original documents or historical designs and are redrawn by hand. The artwork will therefore include intrinsic irregularities of a hand drawn design which Soane Britain celebrates. Any design if scaled over a large enough area will produce a dominant repeat of one or more elements. Soane Britain do not consider this a flaw and as such will not accept claims against this feature.

FLAWS AND ALLOWANCES FOR FLAWS

The nature of weaving means that there will be occasional flaws in the fabric. Where an order is being fulfilled from stock, Soane Britain will attempt to deliver a flawless cut. However, if this is not possible or when fabric is woven to order, Soane Britain will apply the following tolerance levels: 1 fault in 10 metres or 2 faults in 15 metres; e.g. 5 faults tolerated in 50 metres of fabric. For every fault an additional 20cm is added free of charge to your order.

SUGGESTED USAGE

Please note that the suggested uses for Soane Britain’s fabric are only recommendations. The durability of any fabric will be affected by the application and treatment of the product, the intensity of its use, its location and the standard of maintenance employed.

Soane Britain cannot accept claims caused by any reason or conditions of use.

CLEANING INSTRUCTIONS, SHRINKAGE AND FADING

Soane Britain’s fabrics are strictly dry clean only. It is recommended that you use a premium dry-cleaning service which uses mild detergent when possible. Gentle dry cleaning, even with the best service, will cause shrinkage and fading.

The natural fibres and water-based pigments used in Soane Britain’s printing processes cannot be guaranteed against fading, particularly when exposed to direct sunlight. Shrinkage of 3-5% of total length and width from atmospheric conditions should be expected.

Soane Britain cannot accept claims for any shrinkage or fading caused by any reason or condition.

Soane Britain strongly recommend that when ordering wallpaper, at least one additional roll is included in the order to allow for under estimates and future damage. Please also refer to the hanging instructions which are included in every order. Soane Britain cannot accept claims for shortages or damage caused by any reason of installation.

CONSUMER SAMPLES

This section of the terms only applies if you are a consumer purchasing a fabric, wallpaper, or leather sample from Soane Limited (company number 03360853) with its registered office at 253 Grays Inn Road, London, United Kingdom, WC1X 8QT (“Soane Britain”), via the Soane Britain website.

CONFIRMATION OF ORDER

Soane Britain will confirm acceptance of your order by sending a confirmation email. Until Soane Britain has received payment for the fabric sample(s) and sent an order confirmation e-mail, your order has not been accepted.

Soane Britain is entitled to refuse any order placed by you. Sometimes Soane Britain will reject orders, for example, because unfortunately a sample is out of stock. When this happens, Soane Britain will let you know as soon as possible and refund any sums you have paid.

CANCELLATION

You have the right to cancel your order during the 14 day-period immediately after delivery took place. To cancel your fabric sample order please contact [email protected] and quote your order number in the subject line.

When cancelling your order, you will be responsible for the return postage costs (unless the sample is faulty).

FAULTY SAMPLES OR ISSUES WITH YOUR ORDER

Samples that Soane Britain provide to you must be as described, fit for purpose and of satisfactory quality. Soane Britain’s samples go through a stringent quality control and colour match process to help achieve this.
